Terms of service

1. Agreement

These terms are between Elyntica Inc. (“Elyntica”, “we”) and the organisation that creates a PaidReady account (“Customer”, “you”). By creating an account or using the Service you accept them on behalf of your organisation. If you are accepting for a client company as a bookkeeper or accountant, you confirm you are authorised to do so.

2. What PaidReady is — and is not

PaidReady is software that helps you organise payroll records, review them against rules you enable, and prepare and sign certified payroll reports (Form WH-347). It is not legal advice, a compliance certification, or a determination of which laws apply to your projects. You record which requirements apply; you confirm reporting facts; an authorised person in your organisation reviews and signs each report; and you submit reports to the recipient. A report marked “submitted” in PaidReady records that you sent it, not that any agency received or accepted it. “No exception found” means no exception was found under the enabled rules and the data available — nothing more. PaidReady does not pay wages, file payroll taxes or replace your payroll provider.

3. Your responsibilities

You are responsible for the accuracy of the information you enter or import, for the decisions your team records, for keeping credentials confidential, for using the Service only with information you are entitled to process, and for meeting your own legal obligations, including record-retention and submission deadlines. You must not upload Social Security numbers, bank details or identity documents, attempt to access another organisation’s data, or use the Service to build a competing product.

4. Accounts, roles and access

The owner of an organisation controls who has access and with which role. You are responsible for actions taken under your organisation’s accounts. We may suspend access that threatens the security or integrity of the Service and will tell you why.

5. Plans, fees and trials

The free first report allows one project, one user and one completed WH-347. Paid plans are billed monthly in US dollars in advance, at the price and allowances confirmed to you in writing when your subscription starts. There are no setup fees. You may cancel at any time; the subscription ends at the close of the current billing period and fees already paid are not refunded except where the law requires. We may change prices with at least 30 days’ notice, effective at your next billing period.

6. Your data

You own the data you put into PaidReady and the reports you generate. You grant us the rights needed to host, process, back up and display it in order to provide the Service. We handle it as described in the privacy policy. You can export it at any time; after cancellation it remains available for export for 90 days and is then deleted.

7. Our commitments

We will provide the Service with reasonable skill and care, maintain the security practices described on the Security & data page, keep signed reports and their audit records unaltered, and give reasonable notice of material changes. Planned maintenance is scheduled outside US business hours where practical.

8. Disclaimers and limitation of liability

The Service is provided “as is”. To the fullest extent permitted by law we disclaim implied warranties, and we are not liable for indirect, consequential or special damages, or for penalties, back wages, lost contracts or agency actions arising from information you entered, decisions your team recorded or reports you submitted. Our total liability for any claim in a 12-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.

9. Termination

You may close your account at any time. We may terminate for material breach after notice and a reasonable chance to cure, or immediately for serious misuse. Sections 6, 8 and 10 survive termination.

10. General

These terms are governed by the laws of [State], United States, and disputes are heard in its courts. If a provision is unenforceable the rest remains in effect.
